 En esta circular se incluye la información relativa a la Junta General Anual de la Asociación que se celebrará en Zúrich a las 9am del 19 de noviembre de 2016 así como los procedimientos para poder votar por representación.

Se adjunta la convocatoria para la Junta General Anual.
2. Agenda para la Junta General Anual
En la Agenda que se adjunta se incluyen los asuntos habituales para aprobar las Minutas, certificar el Informe y Cuentas, y nombrar a los Auditores.
Además, la Agenda contiene un número de resoluciones que permitirán al Club establecer un Comité de Miembros, reduciendo el tamaño del Consejo regulador. La intención es mejorar el gobierno corporativo del Club, haciendo un mejor uso de la experiencia de aquellos que han sido previamente elegidos como Directores, pero escuchando sus puntos de vista como miembros del nuevo Comité en lugar de ser titulares de una oficina reguladora con la carga que esto conlleva.
Las resoluciones prevén los cambios constitucionales necesarios, y prevén la elección al Comité de Miembros de aquellos representantes de los Miembros quienes actualmente desempeñan un cargo como Directores del UKB.
Los cambios constitucionales consisten en ampliaciones de los Estatutos de The United Kingdom Mutual Steam Ship Assurance Association (Bermuda) Limited (UKB) y una modificación a los Artículos de la Asociación del The United Kingdom Mutual Steam Ship Assurance Association (Europe) (UKE), de la cual el UKB es el único miembro. Las reuniones del Comité de Miembros se centrarán en asuntos relacionados con el transporte y los servicios ofrecidos por el Club, incluyendo desarrollos industriales y legislativos, prevención de riesgos y gestión del riesgo marítimo, reclamaciones discrecionales, cambios propuestos o desarrollos de coberturas, y otros asuntos que reflejen los intereses mutuales de los Miembros. El Comité de Miembros invertirá menos tiempo en aspectos técnicos y regulatorios del seguro. Sin embargo, el Consejo regulatorio consultará con el Comité de
Miembros los asuntos estratégicos, como el desarrollo del plan corporativo progresivo del Club, y asuntos financieros como cualquier propuesta para reducir o incrementar primas.
Paralelamente con el establecimiento del Comité de Miembros, el Consejo regulatorio del UKB se reducirá en gran medida, del máximo actual de 35 Directores, a 8 Directores que representen las flotas inscritas, más (como es el caso actualmente) 2 Directores independientes y especialistas con experiencia en asuntos financieros y de seguros. Este pequeño Consejo se responsabilizará de la carga regulatoria que se ha convertido en una parte normal de las responsabilidades de los directores de una compañía de seguros regulada bajo el régimen de Solvencia 2.
La nueva estructura será bien recibida por los reguladores del Club quienes esperan que los consejos reguladores sean pequeños, mientras que se continúa proporcionando una ruta a través de la cual los Miembros elegidos puedan (sin tener que convertirse en Directores reguladores) participar en el gobierno del Club, asegurando que las necesidades de los Miembros estén cubiertas.
3. Formato para Votar por Representación
Se adjunta un formato para votar por representación así como una Agenda de Votos en relación a las resoluciones en los puntos 4, 5, 6, 7, 9 y 10 de la Agenda. Por favor tengan en cuenta que el formulario completo debe llegar a la Secretaría, Thomas Miller (Bermuda) Ltd., al menos 12 horas antes de la Junta General Anual.

The notice of the Annual General Meeting is attached.
2. Agenda for Annual General Meeting
The Agenda is attached and contains customary items to approve the Minutes, to adopt the Report and
Accounts, and to appoint Auditors.
In addition, the Agenda contains a number of resolutions to enable the Club to establish a Members’
Committee,while reducing the size of the regulated Board.The intention is to improve the Club’s corporate
governance,making better use of the expertise of those who have formerly been elected as Directors, but by
hearing their views as members of the new Committee rather than as holders of a regulated office with the
burden that entails.
The resolutions provide for necessary constitutional changes, and provide for the election to the Members’
Committee of those representatives of Members who currently serve as regulated Directors of UKB.
The constitutional changes consist of additions to the Bye-Laws ofThe United Kingdom Mutual Steam Ship
Assurance Association (Bermuda) Limited (UKB) and an amendment to the Articles of Association ofThe
United Kingdom Mutual Steam Ship Assurance Association (Europe) Limited (UKE), of which UKB is the
sole member.The amendments, together with explanatory notes, are set out in Appendix A attached, and can

The Members’Committee meetings will focus on matters related to shipping and the services offered by the
Club, including industry and legislative developments, loss prevention and marine risk management,
discretionary claims, proposed changes or developments in cover, and other matters reflecting the mutual
interests of the Membership. Less time will be spent in the Members’Committee on technical and regulatory
aspects of insurance.However, the Members’Committee will be consulted by the regulatory Board on
strategic matters, such as development of the Club’s corporate rolling plan, and financial matters such as any
proposals to reduce or increase premiums.
Concurrently with setting up the Members’Committee, the regulated Board of UKB will be greatly reduced
in size, from the current maximum of 35 Directors, to 8 Directors representing entered fleets, plus (as is
currently the case) 2 independent Directors with specialist financial and reinsurance expertise.That small Board
will take the considerable regulatory burden that has become a normal part of the responsibilities of the
directors of a regulated insurance company under the Solvency 2 regime.
The new structure will be welcomed by the Club’s regulators who expect regulated boards to be small in size,
while it continues to provide a route through which elected Members can (without having to become
regulated Directors) participate in the governance of the Club, thereby ensuring that the needs of the
Membership are well served.
3. Proxy Form
A Proxy Form and Schedule of Votes are enclosed in respect of the resolutions in items 4, 5, 6, 7, 9 and 10 of
the Agenda. Please note the completed form must reach the Secretary,Thomas Miller (Bermuda) Ltd, at the
latest 12 hours before the Annual General Meeting.
